End User License Agreement

This End User License Agreement ("EULA") is a binding legal agreement between you, as an individual or entity, and LinkNow. By downloading, installing, or using this application for iOS (the "Software"), you agree to be bound by the terms of this EULA. If you do not agree to this EULA, do not use the Software and delete it. You agree that installation or use of the Software signifies that you have read, understood, and agree to be bound by this EULA.

For clarification, any LinkNow service ("LinkNow Service") accessed through the Software, or otherwise, is also subject to the LinkNow Terms of Service and Privacy Policy. Additional terms may apply to specific features, including Pro subscription features. The Software is provided to you under this EULA solely for your private, non-commercial use.

You are entering into this contract with LinkNow, and LinkNow will be the controller of your personal data provided to, or collected by or for, or processed in connection with the Software or LinkNow Service.

1. Description of Software

The Software is a downloadable software application that enables you to access LinkNow functionality directly from your iPhone ("Device"). LinkNow is a location-based social application that connects users in proximity to one another, facilitates event discovery and creation, and enables messaging between users.

You must create a LinkNow account and be at least 18 years of age to use the Software. The Software requires access to location services (GPS) to enable its core functionality of connecting nearby users.

2. License

Subject to the terms and conditions of this EULA, LinkNow grants you a limited, non-exclusive, non-transferable, revocable, personal license to:

• Download, install, and use the Software on any Device that you own or control, through the Apple App Store, for your own personal, non-commercial purposes; and
• Use the Software on multiple Devices, provided you are signed in with the same account and comply with the terms of this EULA and the applicable platform's terms of service.

Installation, updates, and device management are handled through the Apple App Store. Any use of the Software is also subject to the applicable store's terms of service and usage rules.

3. Title

Title, ownership, and all rights (including without limitation intellectual property rights) in and to the Software shall remain with LinkNow. The Software is protected by copyright, trademark, and other intellectual property laws. Except for those rights expressly granted in this EULA, no other rights are granted, whether express or implied.

4. Restrictions

You understand and agree that you shall only use the Software in a manner that complies with any and all applicable laws in the jurisdictions in which you use the Software. Your use shall be in accordance with applicable restrictions concerning privacy and intellectual property rights and must comply with our Community Guidelines.

You may not:

• Create derivative works based on the Software;
• Use the Software for any purpose other than as described herein;
• Copy or reproduce the Software except as described in this EULA;
• Sell, assign, license, disclose, distribute, or otherwise transfer or make available the Software or any copies of the Software in any form to any third parties;
• Alter, translate, decompile, reverse assemble, or reverse engineer the Software, or attempt to do any of the foregoing, except to the extent this prohibition is not permitted under applicable law;
• Remove or alter any proprietary notices or marks on the Software;
• Infringe on the intellectual property rights of LinkNow or third parties;
• Use the Software if you are under 18 years of age;
• Use the Software to harass, stalk, threaten, or harm other users;
• Use the Software to post or transmit any content that is illegal, threatening, abusive, defamatory, obscene, or otherwise objectionable;
• Use automated systems, bots, or scripts to access or interact with the Software;
• Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation;
• Create fake or duplicate accounts;
• Sell or transfer your account to others;
• Use the Software for spam, multi-level marketing (MLM), pyramid schemes, or unsolicited commercial solicitation;
• Manipulate or falsify location data or proximity features;
• Scrape, harvest, or bulk-collect data or content from the platform;
• Attempt to bypass account suspensions, bans, or platform safety restrictions, including by creating multiple accounts;
• Solicit money, financial support, donations, or gifts from other users;
• Promote, organize, or facilitate illegal offline meetups, including but not limited to drug sales, prostitution, or other unlawful activities;
• Use the Software to engage in or promote illegal activities;
• Post sexually explicit content or solicit sexual services;
• Promote hate speech, violence, or discrimination; or
• Attempt to defraud other users or LinkNow.

5. Subscription Services and In-App Purchases

The Software may offer subscription-based pro features ("Pro Services") and in-app purchases. LinkNow offers Pro subscriptions at $2.99/month or $24.99/year. By purchasing Pro Services, you agree to the following:

• Billing: Pro subscriptions are billed at the time of purchase and renew automatically on their recurring billing cycle unless canceled.
• Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• Cancellation: You may cancel your subscription at any time through Settings → Manage Membership → Manage Plan → Cancel Membership or through your Apple ID account settings.
• No Refunds: All payments are non-refundable except as required by law or Apple's refund policy.
• Price Changes: LinkNow reserves the right to change subscription prices. You will be notified at least 30 days before any price increase takes effect.
• Apple App Store: Subscriptions purchased through the Apple App Store are subject to Apple's terms and conditions.

6. Location Services

The Software uses location services (GPS) to provide its core functionality of connecting users based on proximity. By using the Software, you acknowledge and agree that:

• Location data is required for the Software to function properly;
• You grant LinkNow permission to collect, use, and process your location data as described in the Privacy Policy;
• You may disable location services at any time, but this will significantly limit the functionality of the Software; and
• LinkNow does not store long-term location history; only your last updated location is retained.

7. Personal Information and Privacy

Our handling of personal information we collect through the LinkNow Services or the Software is governed by the LinkNow Privacy Policy, available within the Software and at our website. By using the Software, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Information we collect includes, but is not limited to:

• Account information (name, email, phone number, birthday, gender)
• Profile information (bio, occupation, education, company, interests, and photos)
• Location data
• Usage data and analytics
• Communications and messages
• Device information (device type, operating system)
• Push notification tokens

8. Age Requirements and COPPA Compliance

The Software is intended solely for users who are 18 years of age or older. By using the Software, you represent and warrant that you are at least 18 years old.

LinkNow complies with the Children's Online Privacy Protection Act (COPPA) and does not knowingly collect personal information from children under 13. Because this Software is intended for users 18 and older, we do not knowingly collect personal information from anyone under 18. If we learn that we have collected personal information from a user under 18, we will delete that information promptly.

9. No Warranty

LINKNOW DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET ANY REQUIREMENTS OR NEEDS YOU MAY HAVE, OR THAT THE SOFTWARE WILL OPERATE ERROR FREE, OR IN AN UNINTERRUPTED MANNER, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FULLY COMPATIBLE WITH ANY PARTICULAR PLATFORM. THE SOFTWARE IS OFFERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS AND NO WARRANTY, EITHER EXPRESS OR IMPLIED, IS GIVEN. LINKNOW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LINKNOW DOES NOT WARRANT OR GUARANTEE THE CONDUCT, ACTIONS, OR BEHAVIOR OF OTHER USERS. YOU USE THE SOFTWARE AND INTERACT WITH OTHER USERS AT YOUR OWN RISK. LINKNOW IS NOT RESPONSIBLE FOR THE CONTENT, ACCURACY, OR OPINIONS EXPRESSED BY USERS OF THE SOFTWARE.

SOME JURISDICTIONS DO NOT ALLOW THE WAIVER OR EXCLUSION OF IMPLIED WARRANTIES SO THEY MAY NOT APPLY TO YOU.

10. Right to Terminate or Modify Software

LinkNow may modify the Software and this EULA with or without notice. Material changes will be communicated via in-app notification or email. You may cease use of the Software at any time by deleting your account through Settings → Personal Details → Delete Account and uninstalling the Software. Either party may terminate this EULA at any time, with or without notice.

LinkNow reserves the right to suspend or terminate your access to the Software at any time, without prior notice, if you violate this EULA, the Terms of Service, or any applicable law, or for any other reason at LinkNow's sole discretion.

Account Deletion Process: When you delete your account, it is temporarily deactivated for 30 days. During this period, your profile will not be visible to other users and you will not have access to the Service. You may reactivate your account by logging back in. If you do not reactivate within 30 days, your account and all associated data will be permanently deleted, except for transaction records which are retained for tax compliance as required by law. All Pro subscriptions are managed and billed by Apple through your Apple ID. Deleting your account does not automatically cancel your subscription - you must cancel separately through your Apple account settings to avoid future charges.

Upon termination:

• Your right to use the Software immediately ceases;
• Your account and all associated personal data will be deleted in accordance with our Privacy Policy and the 30-day deletion process described above; and
• Provisions of this EULA that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Open Source

The Software may contain or be provided together with open source software. Each item of open source software is subject to its own applicable license terms. Copyrights to the open source software are held by the respective copyright holders indicated therein. A list of open source components and their licenses may be found in the Software documentation or settings.

12. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless LinkNow, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Software;
• Your violation of this EULA or the Terms of Service;
• Your violation of any rights of another person or entity;
• Your content posted on or through the Software;
• Any interaction or dispute between you and another user of the Software; or
• Your violation of any applicable law, rule, or regulation.

13. Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT LINKNOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF LINKNOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:

• YOUR USE OR INABILITY TO USE THE SOFTWARE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SOFTWARE;
• ANY CONTENT OBTAINED FROM THE SOFTWARE;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
• PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SOFTWARE;
• ANY INTERACTION BETWEEN YOU AND ANOTHER USER, WHETHER ONLINE OR OFFLINE.

IN NO EVENT WILL LINKNOW'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LINKNOW FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

THESE LIMITATIONS AND EXCLUSIONS WILL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OF DAMAGES AND/OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Export Restrictions

This EULA is expressly made subject to any laws, regulations, orders, or other restrictions on the export of software from the United States of America, and may be subject to export and import regulations of other countries. You acknowledge and agree not to import, export, re-export, transfer, or use, directly or indirectly, the Software without compliance with such laws, regulations, orders, or other restrictions.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

• Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting support@linknowapp.com. We will try to resolve the dispute informally within 60 days.
• Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to this EULA or the Software shall be resolved by binding arbitration administered in the State of Florida, USA, in accordance with the rules of the American Arbitration Association.
• Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
• Small Claims Court: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

16. General

• Governing Law: This EULA and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles.
• Jurisdiction: Subject to the arbitration provisions above, you agree that any legal action or proceeding relating to this EULA shall be brought exclusively in the state or federal courts located in Florida, USA, and you consent to the personal jurisdiction of such courts.
• Entire Agreement: This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and LinkNow regarding the Software and supersedes all prior agreements and understandings.
• Severability: If any provision of this EULA is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remaining provisions of this EULA will remain in full force and effect.
• Waiver: The failure of LinkNow to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
• Assignment: You may not assign this EULA or any rights or obligations hereunder without the prior written consent of LinkNow. Any attempted assignment in violation of this provision shall be null and void. LinkNow may assign this EULA without restriction.
• Notices: LinkNow may provide notices to you via email, in-app notification, or by posting on the Software. You may contact LinkNow at support@linknowapp.com.
• Trademarks: LinkNow, the LinkNow logo, and other LinkNow-owned logos and names are trademarks of LinkNow. You agree not to display or use these trademarks in any manner without LinkNow's prior written permission.
• Section Headings: The section titles and numbering of this EULA are displayed for convenience and have no legal effect.

17. Apple-Specific Terms (iOS Users)

If you downloaded the Software from the Apple App Store, the following additional terms apply:

• Acknowledgement: You acknowledge that this EULA is between you and LinkNow only, not with Apple Inc. ("Apple"), and Apple is not responsible for the Software or its content.
• Scope of License: The license granted to you is limited to a non-transferable license to use the Software on any Apple-branded device that you own or control as permitted by the App Store Terms of Service.
• Maintenance and Support: LinkNow is solely responsible for providing any maintenance and support services for the Software. Apple has no obligation to furnish any maintenance and support services.
• Warranty: LinkNow, not Apple, is solely responsible for any product warranties, whether express or implied by law. Apple has no warranty obligation whatsoever with respect to the Software.
• Product Claims: LinkNow, not Apple, is responsible for addressing any claims relating to the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
• Intellectual Property: In the event of any third-party claim that the Software or your possession and use of it infringes that third party's intellectual property rights, LinkNow, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
